Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between Outprice LLC (“Outprice,” “we,” or “us”) and the Shopify merchant installing or using Gritwrite (“you,” “your,” or the “merchant”). They govern your access to and use of the Gritwrite app (the “Service”). Please read them carefully.

1. Acceptance of terms

By installing Gritwrite on your Shopify store, clicking “install,” “accept,” or similar in the Shopify or Gritwrite user interface, or otherwise accessing or using the Service, you agree to these Terms. The date of your installation — which we record alongside your shop identity for administrative purposes — is the effective date of this agreement between you and Outprice LLC.

If you do not agree to any part of these Terms, do not install or use the Service. If you represent a business entity, you represent that you have authority to bind that entity to these Terms.

2. What the Service does

Gritwrite is a Shopify embedded application that rewrites product copy in a brand voice you configure. Specifically, the Service allows you to:

• Enter a brand voice (brand name, one-sentence description, tone descriptors, target customer, optional example description, banned phrases, and inspiration brands).
• Request rewrites of product copy — titles, descriptions, SEO meta titles, SEO meta descriptions, and image alt text — in your brand voice, using one of five rewrite modes: More human, More premium, More conversion-focused, More concise, and More SEO-friendly.
• Review a before/after preview and a Brand Fit analysis (scores for brand match, human-sounding, cliché risk, SEO coverage, and publish readiness) for every rewrite.
• Apply an approved rewrite to your Shopify store with one click.
• Revert any applied rewrite from your history at any time.

Nothing is written to your Shopify store until you explicitly click Apply. All rewrites are drafts until you act on them.

3. Eligibility

To use the Service you must (a) have a valid Shopify store in good standing, (b) be at least 18 years old or the age of legal majority in your jurisdiction, (c) have the authority to bind the business entity operating that store, and (d) not be barred from using the Service under the laws of the United States or any other jurisdiction that applies to you. Outprice reserves the right to refuse or terminate service to any merchant at our discretion.

4. Account, access, and your Shopify credentials

Authentication to the Service is handled entirely through Shopify’s OAuth flow. We do not issue, manage, or store your Shopify password. You are responsible for keeping your Shopify account credentials secure and for any activity that occurs under your Shopify account, including any installation or use of Gritwrite.

Outprice is not responsible for any loss, damage, or unauthorized use of the Service resulting from the compromise of your Shopify account or of credentials you control. If you suspect unauthorized access, notify Shopify and us at staff@gritwrite.com immediately.

5. Billing and payment

Gritwrite is offered on the following plans:

• Free plan. No card required. Limited to five (5) full rewrites across your catalog. Brand Fit scoring is free and unlimited on the Free plan. A rewrite already counted against the Free plan is not refunded if you revert it.
• Pro plan. $19.99 USD per month, including a 7-day free trial. Unlimited rewrites across your catalog, all rewrite modes, and full rewrite history.

All billing is processed by Shopify through the Shopify Billing API. Outprice LLC does not receive, process, or store your payment card information. By upgrading to Pro you also agree to Shopify’s billing terms applicable to app subscriptions.

• You may cancel at any time through your Shopify admin. Cancellation takes effect at the end of the then-current billing period.
• Except where required by law, fees are non-refundable, including for partial billing periods and for periods during which you did not actively use the Service.
• Outprice may change pricing or plan structures with at least 30 days’ notice before the change takes effect for your subscription. Continued use after the change becomes effective constitutes acceptance of the new pricing.
• Taxes, if applicable, are handled by Shopify and will be added to your Shopify invoice as required.

6. Acceptable use

You agree not to use the Service to:

• Generate, apply, or publish copy that is false, misleading, deceptive, fraudulent, defamatory, or that violates any applicable consumer-protection, advertising, or truth-in-labeling law.
• Generate copy for products you do not have the legal right to sell, or for activities prohibited by Shopify’s Acceptable Use Policy or Terms of Service.
• Attempt to reverse-engineer, decompile, extract, or otherwise discover the underlying prompts, model weights, or proprietary logic of Gritwrite or of any third-party AI model used by the Service.
• Resell, sublicense, white-label, or otherwise make the Service available to third parties without Outprice’s prior written consent.
• Use automated means (other than Shopify’s own automation surfaces) to bulk-generate rewrites in a way that is inconsistent with normal individual use.
• Attempt to circumvent, disable, or interfere with the Service’s rate limits, cost caps, or other usage protections.
• Use the Service in any jurisdiction or manner prohibited by applicable law, including sanctions and export-control laws of the United States.

Violation of this section may result in immediate suspension or termination of your access to the Service.

7. AI-generated content — merchant responsibility and Outprice disclaimer

Because generative AI models may produce output that is factually incorrect, inconsistent with your product’s actual specifications, potentially infringing on third-party rights, or non-compliant with regulations in your jurisdiction, you acknowledge and agree:

1. No warranty of accuracy. Outprice makes no warranty, representation, or guarantee that any AI-generated output will be accurate, complete, current, original, non-infringing, fit for any particular purpose, or legally compliant with any law, regulation, or industry standard applicable to you, your products, or your jurisdiction — including but not limited to consumer-protection law, advertising law, the U.S. Federal Trade Commission (FTC) guides on endorsements and substantiation, the EU Unfair Commercial Practices Directive, product-labeling law, food or supplement regulations, medical-device claims, and AI-disclosure requirements.
2. Review before publishing. You are solely responsible for reviewing every rewrite before clicking Apply, and for verifying that the rewrite accurately describes the product, does not invent facts, does not infringe third-party intellectual property or trademarks, and complies with all laws and platform policies that apply to the sale of that product.
3. Factual claims are yours. If an AI-generated rewrite contains a factual claim about a product (ingredient, material, origin, dimension, performance, comparison, certification, compliance), you are solely responsible for being able to substantiate that claim before publishing it.
4. Disclosure obligations are yours. Several jurisdictions require or may require merchants to disclose that product copy is AI-generated, or to comply with specific AI-transparency rules. It is your responsibility to determine and comply with such obligations. Outprice does not provide legal advice and does not represent that the Service is compliant with any particular AI-disclosure regime.
5. Liability for published content rests with you. Once you click Apply, the resulting copy is content that you have chosen to publish on your Shopify store. You bear full responsibility for that published content, including any claims by consumers, regulators, competitors, or third parties arising from it. Outprice’s liability for that content is zero, subject only to the limits set forth in Section 11.
6. Revert remains available. The Service preserves the original version of every product you rewrite and allows you to revert at any time from the History screen. This does not, however, retract or undo any publication, distribution, indexing, or reliance on the rewritten copy that occurred while it was live.

8. Intellectual property

Outprice IP. Gritwrite’s software, underlying prompts, model configurations, branding, user interface, and documentation are owned by Outprice LLC and are protected by copyright, trademark, and other laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service during the term of your subscription and in accordance with these Terms.

Your content. You retain all rights in (a) your product data and the brand voice inputs you submit to the Service, and (b) any AI-generated rewrites that you choose to apply to your Shopify store. Outprice claims no ownership of published rewrites or of your brand voice. You grant Outprice a limited license to process the inputs in (a) only as necessary to provide the Service to you (including transmission to Anthropic for generation, as described in our Privacy Policy).

Feedback. If you provide feedback, bug reports, or feature requests, you grant Outprice a non-exclusive, royalty-free, perpetual license to use that feedback to improve the Service, with no obligation to you.

Note on AI output and copyright. The United States Copyright Office has taken the position that material generated purely by AI, without sufficient human creative contribution, is not eligible for copyright protection. Whether any particular Gritwrite rewrite qualifies for copyright protection in your jurisdiction depends on facts specific to your process (brand voice training, editing, selection). Outprice makes no representation on this point; consult your own counsel if copyright registrability of your product copy matters to you.

9. Third-party services

The Service depends on third-party providers, including Anthropic (AI model), Shopify (platform, billing, OAuth), and Railway (hosting). Your use of the Service is therefore also subject to the applicable terms and privacy policies of those providers. Outprice is not responsible for the availability, content, pricing, security, or data-handling practices of any third-party service, nor for any outage, error, or act of a third-party service that affects the Service.

Product copy and brand voice inputs you submit to the Service will be transmitted to Anthropic for processing. By using the Service you consent to that transmission.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, with all faults and without warranty of any kind, express or implied, including (without limitation) any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Service will be uninterrupted, error-free, virus-free, or continuously available. Outprice does not warrant that AI-generated output will meet your requirements, be accurate, be suitable for any particular product or market, or comply with any law or industry standard.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions the exclusions above apply to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law:

• Outprice is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including (without limitation) lost profits, lost revenue, lost goodwill, lost data, or the cost of substitute goods or services, arising out of or relating to your use of the Service or any AI-generated content published through it — whether based on contract, tort (including negligence), strict liability, or any other theory, even if Outprice has been advised of the possibility of such damages.
• Outprice’s aggregate liability to you for all claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount actually paid by you to Outprice for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100 USD).
• These limitations are a fundamental element of the bargain between you and Outprice and would not be commercially reasonable to offer the Service without them. They apply even if a limited remedy is found to have failed its essential purpose.

12. Indemnification

You agree to defend, indemnify, and hold harmless Outprice LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service, including any AI-generated content you apply to your Shopify store or otherwise publish;
• Your violation of these Terms, including the Acceptable Use section;
• Your violation of any law, regulation, or third-party right, including intellectual-property or privacy rights, in connection with the Service or your products; and
• Any dispute between you and a customer, competitor, regulator, or other third party arising from content you published using the Service.

Outprice may, at its option and expense, assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Outprice’s defense of any such claim.

13. Termination

Termination by you. You may terminate these Terms at any time by uninstalling Gritwrite from your Shopify admin. Uninstallation ends your subscription at the end of the current billing period and triggers deletion of your data as described in the Privacy Policy.

Termination by Outprice. Outprice may suspend or terminate your access to the Service (a) immediately, if you materially breach these Terms (including the Acceptable Use section), or if your continued use poses a legal, security, or operational risk to Outprice, its other merchants, or any third party, and (b) for any other reason, on at least 30 days’ written notice (which may be provided by email or in-app).

Effect of termination. Upon termination, your right to access the Service ends. Sections 7 (AI-Generated Content), 8 (Intellectual Property, as to existing content), 9 (Third-Party Services), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law and Disputes), and any other provision that by its nature should survive, will survive termination.

14. Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Except where prohibited by applicable law, you and Outprice agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Clark County, Nevada. You and Outprice each consent to personal jurisdiction in those courts and waive any objection based on inconvenient forum.

Class-action waiver. To the maximum extent permitted by law, you and Outprice agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Changes to these Terms

Outprice may update these Terms from time to time. If a revision is material, we will give you at least 30 days’ notice before it takes effect, by email to the address associated with your Shopify account or by a prominent notice in the app. The “Last updated” date at the top of this page always reflects the most recent version. Your continued use of the Service after the revision takes effect constitutes acceptance of the revised Terms. If you do not agree, your sole remedy is to uninstall the Service before the revision takes effect.

16. Miscellaneous

• Entire agreement. These Terms, together with the Privacy Policy and any plan-specific pricing terms presented at purchase, constitute the entire agreement between you and Outprice regarding the Service and supersede any prior agreements on the same subject.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
• No waiver. Outprice’s failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms or any rights under them without Outprice’s prior written consent. Outprice may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• No agency. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Outprice.
• Force majeure. Outprice is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, third-party service failures, and internet or power outages.
• Notices. Outprice may give you notice by email to the address associated with your Shopify account or by a message inside the app. You may give Outprice notice at staff@gritwrite.com.
